Equal Participation.

The advancement of women is a focus topic in diversity, equity and inclusion management. Mercedes-Benz has set itself aspirational goals to fill more senior management positions with qualified women and aims to achieve a share of 30 % group wide in 2030 as a next step. As of 31 December 2025, this proportion stood at 26.7 %.

Alongside our voluntary commitment to promoting women in executive positions, we are bound in Germany by the Act on the Equal Participation of Women and Men in Executive Positions in the Private and the Public Sector in the version of the Second Executive Positions Act, which applies to listed companies or those subject to co-determination. It obliges the companies concerned to determine and publish targets for the proportion of women on their supervisory board, their management body and in the two levels below their management body, as well as a deadline for achieving them. Statutory minimum quotas apply directly to listed companies such as Mercedes-Benz Group AG, which have equal co-determination.

In addition to Mercedes-Benz Group AG itself, this act applies to MBition GmbH, MDC Power GmbH, Mercedes-AMG GmbH, Mercedes-Benz AG, Mercedes-Benz Bank AG, Mercedes-Benz Bank Service Center GmbH, Mercedes-Benz Group Services Berlin GmbH, Mercedes-Benz Ludwigsfelde GmbH and Mercedes-Benz Tech Innovation GmbH.

Targets and deadlines for the proportion of women in management positions at Mercedes-Benz AG

By resolution dated 2 December 2020, the Supervisory Board of Mercedes-Benz AG set, with regard to its own composition, a target figure for the proportion of women of 30 % (six out of a total of 20 Supervisory Board members), corresponding to the status quo at the time the resolution was adopted, with a deadline of 31 December 2025. As of 31 December 2025, the proportion of women on the Supervisory Board of Mercedes-Benz AG stood at 45 %, with nine women out of a total of 20 Supervisory Board members. The target figure was achieved.

By resolution dated 19 February 2025, the Supervisory Board of Mercedes-Benz AG, at a time when the proportion of women on the Management Board of Mercedes-Benz AG stood at 30 % (three out of a total of ten Management Board members), set a target figure for the proportion of women on the Management Board of at least one woman and at least one man, with a deadline of 31 December 2025. With this resolution, the target figure for the Management Board of Mercedes-Benz AG was aligned with the statutory minimum participation requirement applicable to the Management Board of Mercedes-Benz Group AG as a parity-codetermined listed company with more than three Management Board members, since both bodies have identical composition.

As of 31 December 2025, one woman served on the Management Board, which consisted of a total of eight members. The target figure was achieved.

By resolution dated 24 November 2020, the Management Board of Mercedes-Benz AG, at a time when the proportion of women was 15.1 % (five women out of a total of 33 executives) on the first management level and 15.7 % (30 women out of a total of 191 executives) on the second management level below the Management Board, set target figures of 20 % each for the proportion of women on the first and second management levels below the Management Board, with a deadline of 31 December 2025.

As of 31 December 2025, the first management level below the Management Board of Mercedes-Benz AG consisted of 28 executives, eight of whom were women (28.6 %). At that time, the second management level below the Management Board consisted of 172 executives, 39 of whom were women (22.7 %). Both target figures were achieved.

New targets and deadlines at Mercedes-Benz AG through 2030

By resolution dated 12 December 2025, the Supervisory Board of Mercedes-Benz AG, at a time when the proportion of women on the Supervisory Board of Mercedes-Benz AG stood at 45 % (nine women out of a total of 20 Supervisory Board members), set a target figure for the proportion of women on the Supervisory Board of 30 %, with a deadline for achieving it by 31 December 2030.

Assuming 20 Supervisory Board members as of 31 December 2030, the target figure of 30 % corresponds to a target of six women.

Furthermore, by resolution dated 12 December 2025, the Supervisory Board of Mercedes-Benz AG, at a time when the proportion of women on the Management Board of Mercedes-Benz AG stood at 12.5 % (one woman out of a total of eight Management Board members), set a target figure for the proportion of women on the Management Board of at least one woman, with a deadline for achieving it by 31 December 2030.

By resolution dated 18 November 2025, the Management Board of Mercedes-Benz AG, at a time when the proportion of women was 23.3 % (seven women out of a total of 30 executives) on the first management level and 22.1 % (38 women out of a total of 172 executives) on the second management level below the Management Board, set target figures of 25 % each for the proportion of women on the first and second management levels below the Management Board, with a deadline for achieving them by 31 December 2030.

Based on the assumption that, as of 31 December 2030, there will be a total of 28 executives on the first management level and 172 executives on the second management level below the Management Board of Mercedes-Benz AG, the target figure of 25 % corresponds to a target of seven women for level 1 and 43 women for level 2.

Targets and deadlines for the proportion of women in management positions at Mercedes-Benz Ludwigsfelde GmbH

By resolution dated 16 December 2020, the Supervisory Board of Mercedes-Benz Ludwigsfelde GmbH set, with regard to its own composition, a target figure for the proportion of women of 25 % (three out of a total of 12 Supervisory Board members), corresponding to the status quo at the time the resolution was adopted, with a deadline of 31 December 2025.

As of 31 December 2025, the Supervisory Board of Mercedes-Benz Ludwigsfelde GmbH consisted of twelve members, four of whom were women; the proportion of women on the Supervisory Board therefore stood at 33.3 %. The target figure was achieved.

Also on 16 December 2020, at a time when the proportion of women on the management of Mercedes-Benz Ludwigsfelde GmbH, which consisted of two persons, was 0 %, the Supervisory Board of Mercedes-Benz Ludwigsfelde GmbH set a target figure for the proportion of women in the management of 30 % (one woman out of up to three members of the management), with a deadline of 31 December 2025.

As of 31 December 2025, the management of Mercedes-Benz Ludwigsfelde GmbH still consisted of two members, one of whom was a woman; the proportion of women in the management therefore stood at 50 %. The target figure was achieved.

By resolution dated 18 November 2020, the management of Mercedes-Benz Ludwigsfelde GmbH, at a time when the proportion of women was 0 % (zero women out of a total of six executives) on the first management level and 18.9 % (seven women out of a total of 37 executives) on the second management level below the management, set target figures of 12.5 % for the first and 25 % for the second management level below the management, with a deadline for achieving them by 31 December 2025.

As of 31 December 2025, the first management level below the management of Mercedes-Benz Ludwigsfelde GmbH consisted of three executives, none of whom were women, corresponding to a proportion of women of 0 %. At the second management level below the management of Mercedes-Benz Ludwigsfelde GmbH, nine out of a total of 30 executives were women as of 31 December 2025, corresponding to 30 %.

Due to the reduction in management positions at the first management level below the management from a total of six executives at the time of the resolution in November 2020 to a total of three in December 2025, it was not possible to increase the proportion of women and achieve the target of 12.5 % (one woman out of a total of six executives at this level). For the few staffing decisions at this management level, no suitable female junior candidates were available. However, work is being pursued consistently to expand the talent pool for the first management level. The target figure for the second management level below the management was achieved.

New targets and deadlines at Mercedes-Benz Ludwigsfelde GmbH through 2030

By resolution dated 8 December 2025, the Supervisory Board of Mercedes-Benz Ludwigsfelde GmbH, at a time when the proportion of women stood at 36.4 % (four women out of a total of eleven Supervisory Board members), set a target figure for the proportion of women on the Supervisory Board of 33.3 %, with a deadline of 31 December 2030.

By resolution dated 13 November 2025, the Supervisory Board of Mercedes-Benz Bank Service Center GmbH set new target figures for the proportion of women on the Supervisory Board and in the management.

At the time the resolution was adopted, the proportion of women on the Supervisory Board stood at 0 % (no women out of a total of three Supervisory Board members) and in the management at 33.3 % (one woman out of a total of three management members).

Target figures of 33.3 % each were set for the proportion of women on the Supervisory Board and in the management, with a deadline for achieving them by 31 December 2030.

Assuming three Supervisory Board members as of 31 December 2030, the target figure of 33.3 % corresponds to a target of one woman.

Assuming three management members as of 31 December 2030, the target figure of 33.3 % likewise corresponds to a target of one woman.

By resolution dated 29 October 2025, the management of Mercedes-Benz Bank Service Center GmbH redefined the two management levels below the management, taking into account the organizational structure that had changed compared with 2020, and set new target figures for the proportion of women: 40 % for the first and 50 % for the second management level below the management, with a deadline for achieving them by 31 December 2030.

At the time the resolution was adopted, the proportion of women stood at 29.4 % on the first management level below the management (five women out of a total of 17 executives) and at 59.1 % on the second management level below the management (13 women out of a total of 22 executives).

Assuming a total of 17 executives on the first and 22 executives on the second management level below the management as of 31 December 2030, the target figure of 40 % corresponds to a target of seven women for the first management level, and the target figure of 50 % corresponds to a target of eleven women for the second management level below the management.

Targets and deadlines for the proportion of women in management positions at Mercedes-Benz Bank Service Center GmbH

At the time the resolution was adopted, the proportion of women was 33.3 % on the Supervisory Board (one woman out of a total of three members) and 0 % in the management (no women out of a total of two members). In 2020, the Supervisory Board of Mercedes-Benz Bank Service Center GmbH set target figures of 33.3 % each for the Supervisory Board and the management, with a deadline of 31 December 2025.

As of 31 December 2025, the Supervisory Board of Mercedes-Benz Bank Service Center GmbH still consisted of three members and included no women; the proportion of women on the Supervisory Board therefore stood at 0 %. The target figure was not achieved due to fluctuation among the shareholder representatives.

As of 31 December 2025, the management of Mercedes-Benz Bank Service Center GmbH consisted of three members, one of whom was a woman; the proportion of women in the management therefore stood at 33.3 %. The target figure was achieved.

At the time the resolution was adopted, the proportion of women was 50 % (three women out of a total of six executives) on the first and 30.8 % (eight women out of a total of 26 executives) on the second management level below the management. In 2020, the management set target figures of 40 % each for the proportion of women on the first and second management levels below the management, with a deadline of 31 December 2025.

At the time the target figure was set, the first management level below the management was still staffed with executives employed by Mercedes-Benz Bank Service Center GmbH. Over time, however, and due to organizational structures, that had changed in the interim, the operational management functions at this level were performed, as of 31 December 2025, by executives employed by other Group companies. As these executives are not attributable to Mercedes-Benz Bank Service Center GmbH for the purposes of the company-specific target figure regime, and as the original basis for the target quota had therefore ceased to exist, no target achievement quota could be reported for this level as of 31 December 2025.

As of 31 December 2025, five out of a total of 17 executives at the second management level below the management of Mercedes-Benz Bank Service Center GmbH were women, corresponding to a proportion of women of 29.4 %. The target figure was not achieved.

The failure to achieve the target figure is attributable to developments that were not foreseeable at the time the target figure was set and resulted from unplannable fluctuation, including fluctuation caused by personnel cost reduction measures. Although the company specifically promotes female talent, potential female candidates had not yet reached the necessary qualification or development level.

The company will continue to consistently pursue its activities to promote female talent in order to support the achievement of the defined target quotas in the future.

New targets and deadlines at Mercedes-Benz Bank Service Center GmbH through 2030

By resolution dated 13 November 2025, the Supervisory Board of Mercedes-Benz Bank Service Center GmbH set new target figures for the proportion of women on the Supervisory Board and in the management.

At the time the resolution was adopted, the proportion of women on the Supervisory Board stood at 0 % (no women out of a total of three Supervisory Board members) and in the management at 33.3 % (one woman out of a total of three management members).

Target figures of 33.3 % each were set for the proportion of women on the Supervisory Board and in the management, with a deadline for achieving them by 31 December 2030.

Assuming three Supervisory Board members as of 31 December 2030, the target figure of 33.3 % corresponds to a target of one woman.

Assuming three management members as of 31 December 2030, the target figure of 33.3 % likewise corresponds to a target of one woman.
