Act on the Equal Participation.

May 17, 2023 – The advancement of women is a focus topic in diversity management. Mercedes-Benz has set itself aspirational goals to fill more senior management positions with qualified women and aims to achieve a share of 30 per cent in 2030 as a next step. At Mercedes-Benz, the proportion of women in senior management positions worldwide is at almost 25% by December 31, 2022.

Alongside our voluntary commitment to promoting women in executive positions, we are bound in Germany by the Act on the Equal Participation of Women and Men in Executive Positions in the Private and the Public Sector in the version of the Second Executive Positions Act, which applies to listed companies or those subject to co-determination.

In the Mercedes-Benz Group, this act applies to Mercedes-Benz Group AG, Mercedes-Benz AG, Mercedes-Benz Mobility AG, Mercedes-Benz Bank AG, Mercedes-Benz Bank Service Center GmbH, Mercedes-Benz Ludwigsfelde GmbH and Mercedes-AMG GmbH. These companies have defined their own target figures for the proportion of women on their respective supervisory boards and management bodies, as well as at the two levels below the management body in each case, while also specifying a deadline for their achievement and publishing the information in accordance with the legal requirements. The Board of Management and Supervisory Board of Mercedes-Benz Group AG, as a listed company with equal co-determination, are directly subject to statutory minimum quotas.

Proportion of women in management positions at Mercedes-Benz AG

The law stipulates that the Supervisory Board of Mercedes-Benz AG shall determine targets for the proportion of women on the Supervisory Board and the Board of Management and deadlines for their achievement. For its part, the Board of Management of Mercedes-Benz AG must set such targets and deadlines for the two management levels subordinate to it.

By resolution dated December 2, 2020, the Supervisory Board has set a target for the proportion of women with regard to its own composition of 30 % (6 out of 20 members), a figure in line with the status quo existing at the time of the resolution, and December 31, 2025 as the deadline for achieving it. As of December 31, 2022, the proportion of women on the Supervisory Board of Mercedes-Benz AG was with four women out of 20 members at 30 %.

Also by resolution dated December 2, 2020 and with women making up 37.5 % (three out of eight members) of the Board of Management, the Supervisory Board has set a target for the proportion of women on the Board of Management of 25 % (two out of eight members) and a deadline of December 31, 2025. As of December 31, 2022, the proportion of women on the Board of Management was with three women out of eight members at 37.5 %.

By resolution dated November 24, 2020, the Board of Management of Mercedes-Benz AG has set targets for the proportion of women at both the first and second management level below the Board of Management of 20 %, based on the figures of 15.2 % (5 out of 33 executives) for the proportion of women at the first management level and of 15.7 % (30 out of 191 executives) at the second management level at the time of the resolution, as well as a deadline for achieving these targets of December 31, 2025.

As of December 31, 2022, the first management level of Mercedes-Benz AG below the Board of Management consisted of 33 executives, four of whom were women (12.1%) and the second management level of 186 executives, 39 of whom were women (20.9%).

On the basis of the assumption of a total of 33 executives at management level 1 and a total of 186 executives at management level 2 of Mercedes-Benz AG as of December 31, 2025, the target rate of 20% results in a target of 7 women for level 1 and a target of 38 women for level 2.

Proportion of women in management positions at Mercedes-Benz Ludwigsfelde GmbH

The law stipulates that the Supervisory Board of Mercedes-Benz Ludwigsfelde GmbH shall determine targets for the proportion of women on the Supervisory Board and the Management Board, along with deadlines for their achievement. The Management Board of Mercedes-Benz Ludwigsfelde GmbH for its part must define such target figures and deadlines for the two management levels directly below it.

By resolution dated December 16, 2020 the Supervisory Board of Mercedes-Benz Ludwigsfelde GmbH has set a target of 25 % (3 out of 12 members) for the proportion of women with regard to its own composition, a figure in line with the status quo existing at the time of the resolution, and December 31, 2025 as the deadline for achieving it. As of December 31, 2022, the proportion of women on the Supervisory Board of Mercedes-Benz Ludwigsfelde GmbH was 16.6 % (2 out of 12 members).

Also on 16 December 2020 and with a proportion of 0% of women in the Management Board, consisting of two persons, the Supervisory Board has set a target for the proportion of women on the Management Board of 30% (one out of three members), as well as the deadline of 31 December 2025. As of December 31, 2022, the Management Board of Mercedes-Benz Ludwigsfelde GmbH, which still consists of two members, did not belong to a woman; the proportion of women on the Management Board at that time was thus zero %.

By resolution dated November 18, 2020, based on the figures of 0 % (0 out of 6 executives) for the proportion of women at the first management level and of 18.9 % (7 out of 37 executives) at the second management level below the Management Board at the time of the resolution, the Management Board of Mercedes-Benz Ludwigsfelde GmbH has set targets for the proportion of women at the first management level of 12.5 % and at the second management of 25%, as well as a deadline for achieving these targets of December 31, 2025.

As of December 31, 2022, no women were represented at the first management level below the Management Board, consisting of a total of seven executives, and the proportion of women was therefore zero.

At the second management level below the Management Board, eight of the 37 executives were female as of December 31, 2022, corresponding to a share of 21.6%.

On the basis of the assumption of a total of 7 executives at the first management level and a total of 37 executives at the second management level below the Management Board of Mercedes-Benz Ludwigsfelde GmbH as of December 31, 2025, the target rate of 12.5% results in a target of 1 woman for the first management level and the target rate of 25% results in a target of 10 women for the second management level below the Management Board.
